HealthMarkets Board of Directors - Chinh F. Chu
Chinh E. Chu is a Senior Managing Director in the Corporate Private Equity group of The Blackstone Group LP, which he joined in 1990. Mr. Chu has served as a director of HealthMarkets since April 2006 and served as Chairman of the Board from April 2006 until July 2006, and from February 2009 to present. He is a member of the Executive, Executive Compensation, Compliance & Governance, and Nominating Committees of the Board. Mr. Chu received a B.S. in Finance from the University of Buffalo, where he graduated summa cum laude. He currently serves as a director of Alliant Insurance Services, Inc., Bayview Asset Management, LLC, DJO Incorporated, Catalent Pharma Solutions, Inc., SunGard Data Systems, Inc., Graham Packaging Holdings Company, BlueStar, Bank United and AlliedBarton Security Services.

HealthMarkets Board of Directors - Jason Giordano
Jason K. Giordano is a Principal in Blackstone's Private Equity group. Mr. Giordano began serving as a member of HealthMarkets Board of Directors in February 2009. He also serves as a member of the Audit and Investment Committees of the Board. Since joining Blackstone in 2006, Mr. Giordano has been involved in the execution of Blackstone’s investment in HealthMarkets and in analyzing investment opportunities for the Blackstone Group across various industries. Before joining Blackstone, Mr. Giordano was an Associate at Bain Capital where he evaluated and executed global private equity investments in a wide range of industries. Prior to that, he worked in investment banking at Goldman, Sachs & Co. focused on Communications, Media and Entertainment clients. Mr. Giordano received an AB with High Honors from Dartmouth College, where he graduated summa cum laude and was elected to Phi Beta Kappa, and an MBA with High Distinction from Harvard Business School, where he was a George F. Baker Scholar. Mr. Giordano also serves on the boards of directors of Pinnacle Foods.

HealthMarkets Board of Directors - Phillip J. Hildebrand
Phillip J. Hildebrand has served on the Board of Directors for the Company since June 5, 2008. He also serves as the Company's President and CEO. Mr. Hildebrand was formerly with New York Life Insurance Company. He joined New York Life Insurance Company in 1975 where he held several senior management positions during his 33-year career before retiring in 2008 as Vice Chairman. Mr. Hildebrand has served on the board of New York Life subsidiaries in Hong Kong and Taiwan, as well as MacKay Shields, an institutional investment manager. He is also a past board member of the Million Dollar Round Table Foundation and LIMRA International. Mr. Hildebrand received his B.A. from Northern Arizona University. He currently serves as a director of DJO Incorporated.

HealthMarkets Board of Directors - Adrian M. Jones
Adrian M. Jones has been a Managing Director of Goldman, Sachs & Co. since 2002. Mr. Jones has served as a director of HealthMarkets since April 2006. He is a member of the Executive, Executive Compensation, Compliance & Governance and Investment Committees of the Board. Mr. Jones joined Goldman, Sachs & Co.'s Investment Banking Division in 1994 and moved to its Merchant Banking Division in 1998. Before joining Goldman Sachs, Mr. Jones served as a lieutenant in the Irish Army and worked at Bank of Boston. Mr. Jones earned a B.A. from University College Galway, an M.A. in Economics from University College Dublin and an M.B.A. from Harvard Business School. Mr. Jones currently serves on the boards of directors of Dollar General, Education Management Corporation, Biomet and Signature Hospital Holdings.

HealthMarkets Board of Directors - Mural R. Josephson
Mural R. Josephson has been a director since May 2003 and is a member of the Audit Committee and Executive Compensation Committee of the Board. Following his retirement in October 2002 as Senior Vice President and Chief Financial Officer of Lumbermens Mutual Casualty Company (the lead company of Kemper Insurance Companies), Mr. Josephson has served as a consultant to various financial institutions. In July 1998, Mr. Josephson retired as a partner with KPMG LLP after 28 years with the firm. Mr. Josephson was a licensed Certified Public Accountant for 38 years, and is a member of the American Institute of Certified Public Accountants. He has served as a director and Treasurer of Omni Youth Services (Buffalo Grove, Illinois) since October 2003, as a director of SeaBright Holdings, Inc. (a publicly-traded company providing multi-jurisdictional workers' compensation insurance) since February 2004 and as a director of PXRE Group Ltd. (a publicly-traded company providing primarily catastrophe and risk excess reinsurance products and services) since August 2004. Mr. Josephson received his B.S. in Accountancy from Northern Illinois University.

David K. McVeigh is an Executive Director in the Corporate Private Equity Group for Blackstone. Mr. McVeigh began serving as a member of HealthMarkets Board of Directors in February 2009. Mr. McVeigh also serves as a member of the Compliance & Governance and Nominating Committees of the Board. Mr. McVeigh joined The Blackstone Group in 2006. Prior to that, he was a partner with McKinsey and Company. Mr. McVeigh graduated summa cum laude from Lafayette College with a BS in Chemical Engineering. He earned an MS in Chemical Engineering from Stanford College and his MBA from Columbia University. Mr. McVeigh also serves on the Board of Directors of Biomet and RGIS.

HealthMarkets Board of Directors - Neal Pomroy
Neal Pomroy has served as a director for HealthMarkets since April 2010 and is a member of the Executive, Investment and Nominating Committees of the Board. Mr. Pomroy joined DLJ Merchant Banking Partners, Credit-Suisse’s flagship private equity investment business, in 2004 and is a Managing Director and Global Operating Partner. Prior to joining DLJ Merchant Banking Partners, Mr. Pomroy was with Mercer Management Consulting as a Managing Director and head of the Private Equity and Mergers & Acquisition practice - North America, as well as several other senior management positions including the North American Operating Committee and New York Region Head. From 1983 to 1987, Mr. Pomroy worked in leveraged buyout finance and private equity for Bank of Boston. Mr. Pomroy is a Director of DenMat Holdings, LLC and Hard Rock Hotel Holdings, LLC. Mr. Pomroy holds a B.S. degree in Commerce from the University of Virginia and a Masters in Business Administration from Harvard Business School.

Sumit Rajpal is a Managing Director in the Principal Investment Area of Goldman, Sachs & Co. which he joined in 2000. Mr. Rajpal has served as a director of HealthMarkets since June 2007. He is a member of the Audit Committee of the Board. Prior to joining Goldman Sachs, Mr. Rajpal worked for McKinsey & Company. Mr. Rajpal currently serves on the board of directors of USI Holdings Corporation, Entertainment Co AB (CSI), Alliance Films, and Buck Acquisition (Dollar General).



HealthMarkets Board of Directors - Steven J. Shulman
Steven J. Shulman began serving as a director of the Company in July 2006. Mr. Shulman is a member of the Executive Compensation Committee of the Board. He currently is a Senior Advisor of Warburg Pincus, LLC as well as an operating partner at Water Street Healthcare Partners and Tower 3 Partners.  He previously served as Chairman and CEO of Magellan Health Services, Inc. from 2003 through 2009.  Prior to joining Magellan Health Services, Mr. Shulman founded IHCG, an early-stage healthcare technology venture fund, and served as its Chairman and CEO from 2000 to 2003. Prior to IHCG, he was employed by Prudential Healthcare, Inc. as its Chairman, President and CEO. Mr. Shulman also serves as a director of Digital Insurance, Broadlane, CareCentrix, AccessMediquip, and HealthPlan Holdings. Mr. Shulman holds a Master's degree in Health Services Administration and a Bachelor's degree in Economics from the State University of New York at Stony Brook.
